1. Acceptance of Terms
By accessing or using the Convene application ("App"), website, and any related services (collectively, the "Service"), you agree to be bound by these Terms & Conditions ("Terms"). If you do not agree to all of these Terms, you may not access or use the Service. We reserve the right to update or modify these Terms at any time. Your continued use of the Service after any changes constitutes acceptance of the revised Terms.
2. Eligibility
You must be at least 13 years of age to use this Service. If you are under 18, you represent that you have your parent's or legal guardian's permission to use the Service. By using the Service, you represent and warrant that you have the legal capacity to enter into a binding agreement.
3. User Accounts
To access certain features, you must create an account. You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account. You agree to provide accurate, current, and complete information during registration and to update such information as necessary. We reserve the right to suspend or terminate accounts that violate these Terms or engage in fraudulent or harmful behavior.
4. Use of the Service
You agree not to:
- Use the Service for any unlawful purpose or in violation of any applicable laws or regulations.
- Impersonate any person or entity, or misrepresent your affiliation with any person or entity.
- Interfere with or disrupt the Service, servers, or networks connected to the Service.
- Attempt to gain unauthorized access to any portion of the Service or any systems or networks.
- Use any automated means (bots, scrapers, etc.) to access the Service without our express permission.
- Upload, transmit, or distribute any content that is harmful, offensive, defamatory, or violates any third-party rights.
- Engage in harassment, abuse, or threatening behavior toward other users.
We reserve the right to remove content and suspend or terminate accounts that violate these guidelines at our sole discretion.
5. SMS & Text Message Communications
5.1 Consent to Receive Messages
By providing your phone number and opting in, you consent to receive SMS/MMS text messages from Convene. These messages may include, but are not limited to: event invitations, game invites, shift reminders, friend invitations, account notifications, and promotional messages related to the Service.
5.2 Message Frequency
Message frequency varies based on your activity and notification preferences. You can control which notifications you receive through the Settings page in the App.
5.3 Opt-Out
You may opt out of receiving text messages at any time by replying STOP to any message you receive from us, or by updating your notification preferences in the App settings. After opting out, you may receive one final confirmation message. Opting out of SMS will not affect your ability to use the Service, though you may miss time-sensitive notifications.
5.4 Message & Data Rates
Standard message and data rates from your mobile carrier may apply. Convene is not responsible for any charges incurred from your carrier for receiving text messages.
5.5 Supported Carriers
The Service supports major US carriers including AT&T, Verizon, T-Mobile, Sprint, and others. Carriers are not liable for delayed or undelivered messages.
5.6 Sending Messages
Certain features allow you to send invitations or messages to other users or phone numbers (e.g., "Invite a Friend"). By using these features, you represent that you have consent from the recipient to receive such messages. You agree not to use these features to send spam, unsolicited messages, or any content that violates these Terms.
6. Email Communications
6.1 Consent to Receive Emails
By creating an account or providing your email address, you consent to receive emails from Convene, including transactional emails (account verification, password resets, reservation confirmations), notification emails (event updates, shift changes, invitations), and occasional promotional or informational emails about the Service.
6.2 Opt-Out
You may opt out of promotional emails at any time by clicking the "Unsubscribe" link in any email or by updating your preferences in the App settings. Please note that you may not opt out of transactional emails that are essential to your account (e.g., password resets, security alerts).
6.3 Sending Emails
Features that send email invitations on your behalf require that you have consent from the recipient. You agree not to use email invitation features for spam or unsolicited communications.
7. Privacy Policy
7.1 Information We Collect
We may collect the following types of information:
- Account Information: Name, email address, phone number, profile photo, and other information you provide when creating an account.
- Usage Data: Information about how you interact with the Service, including pages viewed, features used, and timestamps.
- Device Information: Browser type, operating system, device identifiers, and IP address.
- Location Data: With your consent, we may collect precise GPS location data for features such as event check-in, geofence verification, and store proximity.
- Communications: Messages sent through the Service, including in-app messages and chat content.
7.2 How We Use Your Information
We use the information we collect to:
- Provide, maintain, and improve the Service.
- Process reservations, event registrations, and shift management.
- Send notifications, reminders, and communications you have requested or consented to.
- Verify identity and enforce geofence-based features (clock in/out, event check-in).
- Detect and prevent fraud, abuse, and security incidents.
- Analyze usage patterns to improve user experience.
7.3 Information Sharing
We do not sell your personal information. We may share information in the following circumstances:
- With Store Owners & Business Administrators: If you are a staff member of a business on the platform, your name, role, shift data, and clock in/out records may be visible to your business administrators and managers.
- With Other Users: Your display name, profile photo, and public activity (e.g., event attendance, team membership) may be visible to other users as part of the Service's social features.
- Service Providers: We use third-party services (Firebase, Twilio, Google Workspace) to operate the Service. These providers process data on our behalf and are bound by their own privacy policies.
- Legal Requirements: We may disclose information when required by law, legal process, or government request.
7.4 Data Storage & Security
Your data is stored using Google Firebase services, including Firestore and Firebase Authentication, which employ industry-standard encryption and security practices. While we take reasonable measures to protect your information, no system is completely secure, and we cannot guarantee absolute security.
7.5 Location Data
Location data is collected only when you actively use location-based features (e.g., event check-in, geofenced clock in/out, store finder). You can revoke location permissions at any time through your device settings. Location data used for geofence compliance may be logged and visible to your business administrators.
7.6 Data Retention
We retain your personal data for as long as your account is active or as needed to provide the Service. You may request deletion of your account and associated data by contacting us. Certain data may be retained as required by law or for legitimate business purposes (e.g., transaction records, compliance logs).
7.7 Children's Privacy
The Service is not directed to children under 13. We do not knowingly collect personal information from children under 13. If we become aware that we have collected such data, we will take steps to delete it promptly.
7.8 Your Rights
Depending on your jurisdiction, you may have the right to:
- Access the personal data we hold about you.
- Request correction of inaccurate data.
- Request deletion of your data.
- Object to or restrict certain processing of your data.
- Request a portable copy of your data.

8. Intellectual Property
The Service and its original content, features, and functionality are owned by Convene and are protected by copyright, trademark, and other intellectual property laws. You may not reproduce, distribute, modify, or create derivative works of any part of the Service without our prior written consent.
By submitting content to the Service (e.g., profile information, messages, event details), you grant Convene a non-exclusive, royalty-free license to use, display, and distribute such content in connection with operating the Service.
9. Third-Party Services
The Service may integrate with or link to third-party services, including but not limited to Google Maps, Firebase, Twilio, Google Workspace, and Stripe. Your use of these services is subject to their respective terms of service and privacy policies. We are not responsible for the practices or content of third-party services.
10. Payments & Fees
Certain features of the Service may require payment. All payments are processed through secure third-party payment processors (e.g., Stripe). By making a payment, you agree to the payment processor's terms of service. Fees are non-refundable unless otherwise stated or required by applicable law.
11. Disclaimers
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE.
12. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, CONVENE AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUE, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE, REGARDLESS OF THE THEORY OF LIABILITY.
13. Indemnification
You agree to indemnify, defend, and hold harmless Convene and its affiliates from any claims, damages, losses, liabilities, and expenses (including reasonable attorney's fees) arising out of your use of the Service, your violation of these Terms, or your violation of any rights of a third party.
14. Termination
We may suspend or terminate your access to the Service at any time, with or without cause, and with or without notice. Upon termination, your right to use the Service ceases immediately. Provisions of these Terms that by their nature should survive termination (including ownership, disclaimers, indemnity, and limitations of liability) shall survive.
15. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the State of California, United States, without regard to its conflict of law provisions. Any disputes arising from these Terms or the Service shall be resolved in the courts located in San Diego County, California.
